CodePlug™ – Terms of Service (Consumer)
Welcome to CodePlug™. These Terms of Service (“Terms”) govern your access to and use of all software products, digital goods, license keys, updates, documentation, and related services provided by CodePlug™ (“Products” or “Services”). These Terms apply to all visitors, users, and customers. By purchasing, downloading, accessing, or using any CodePlug™ Product, you agree to comply fully with these Terms. If you do not agree, you are prohibited from purchasing, using, or accessing the Products in any form.
1. Definitions
For clarity and consistency throughout these Terms, the following definitions apply:
“Company,” “we,” “our,” or “CodePlug™” refers to the entity responsible for providing and maintaining the Products and Services.
“User,” “you,” or “Licensee” refers to any individual who purchases, accesses, installs, or uses the Products.
“Products” include all software, executable files, digital content, license keys, updates, documentation, and related materials provided by CodePlug™.
“License” refers to the limited, non-transferable right granted to a User to access and use the Products in accordance with these Terms.
“Services” include license delivery, updates, support communications, and other product-related services.
2. Acceptance of Terms
By purchasing, accessing, or using the Products, you acknowledge that you have read, understood, and agreed to these Terms in full. These Terms constitute a legally binding agreement between you and CodePlug™. Continued use of the Products confirms ongoing acceptance of the Terms as updated. Any attempt to bypass, dispute, or ignore these Terms may result in suspension or termination of access.
3. License Grant
Subject to full and ongoing compliance with these Terms, CodePlug™ grants you a limited, non-exclusive, non-transferable license to use the Products solely for personal and lawful purposes.
You are explicitly prohibited from:
Selling, redistributing, sublicensing, sharing, or transferring the Products to any third party
Reverse engineering, decompiling, disassembling, or otherwise attempting to derive source code or internal logic
Creating derivative works, adaptations, or unauthorized modifications
Circumventing licensing, authentication, or security mechanisms
Using the Products in any manner that violates applicable laws or regulations
4. Payment Terms and No Refund Policy
All purchases are final. By completing a transaction, you acknowledge and agree that no refunds, credits, or exchanges will be issued, except where required by applicable law. You are solely responsible for confirming that the Products meet your needs, are compatible with your system, and function as expected prior to purchase. CodePlug™ is not responsible for dissatisfaction resulting from user preference or technical limitations outside its control.
5. License Delivery
License keys or access credentials are delivered electronically using the method selected at checkout. You are responsible for ensuring that all provided contact details are accurate and accessible. CodePlug™ is not responsible for lost, deleted, filtered, or inaccessible license information once delivery has been completed.
6. Intellectual Property Rights
All rights, title, and interest in the Products, including all intellectual property rights, remain the exclusive property of CodePlug™ or its licensors. No ownership rights are transferred to you under these Terms. You may not remove proprietary notices, claim authorship, or use the Products in a way that infringes intellectual property rights.
7. User Obligations
You agree to use the Products responsibly and in compliance with these Terms. This includes maintaining the confidentiality of license keys, preventing unauthorized access, promptly reporting suspected misuse, and refraining from conduct that may disrupt or harm CodePlug™ or other users.
8. Prohibited Uses
You may not engage in conduct that interferes with, disrupts, damages, or places undue burden on the Products, Services, or related infrastructure. This includes attempts to bypass restrictions, distribute unauthorized copies, or otherwise misuse the Products.
9. Privacy and Data Collection
CodePlug™ may collect limited personal data necessary for licensing, delivery, updates, and service communication. Such data is used solely for operational purposes and is not sold to third parties. While reasonable safeguards are used, no system can be guaranteed fully secure.
10. Security
You are responsible for securing your devices, networks, and credentials. CodePlug™ is not liable for losses or damages caused by compromised systems, malware, or unauthorized access resulting from user actions or negligence.
11. Software Updates
Updates, patches, or improvements may be provided at CodePlug™’ discretion. Updates may change functionality or requirements and may be discontinued at any time without notice.
12. Warranty Disclaimer
The Products are provided “as is” and “as available”, without warranties of any kind, express or implied. Use of the Products is entirely at your own risk.
13. Limitation of Liability
To the maximum extent permitted by law, CodePlug™ is not liable for indirect, incidental, consequential, or special damages, including loss of data, access, or expected benefits.
14. Indemnification
You agree to indemnify and hold harmless CodePlug™ from any claims, losses, or liabilities arising from your misuse of the Products or violation of these Terms.
15. Termination
CodePlug™ may suspend or terminate access immediately if you violate these Terms. Termination does not entitle you to a refund and does not eliminate responsibility for obligations incurred prior to termination.
16. Breach, Damage, and Cost Recovery
If you violate these Terms, including attempting to crack, tamper with, reverse engineer, bypass protections, or otherwise interfere with the Products or Services, you acknowledge that such actions may cause damage that is difficult to precisely quantify.
You agree to reimburse CodePlug™ for reasonable and documented costs directly resulting from your breach, including investigation, remediation, repair, enforcement, and administrative expenses.
To the extent permitted by law, such reimbursement shall be capped at a maximum of $500 USD per incident, representing a reasonable estimate of potential damages and associated costs. Any charges will be itemized and provided following notice.
17. Dispute Resolution
Disputes shall first be addressed through good-faith negotiation. If unresolved, disputes may be resolved through binding arbitration or other lawful dispute resolution methods where permitted.
18. Governing Law
These Terms are governed by the laws of the jurisdiction in which CodePlug™ operates, without regard to conflict-of-law principles.
19. Modifications to Terms
CodePlug™ may update or revise these Terms at any time. Continued use of the Products after changes are made constitutes acceptance of the revised Terms.
20. Third-Party Services
The Products may interact with third-party platforms or services. CodePlug™ is not responsible for the availability, functionality, or data practices of any third-party services.
